1) Introduction
These Terms of Use govern your use of our websites and mobile apps (owned and operated by Fresh Online Pte Ltd Singapore); by using these services, you accept these Terms of Use in full. If you disagree with these terms or any part of these terms you must not use any of the services we provide.
2) Definitions
“Services” means any of our websites and mobile apps and the information and content they contain.
"Login" means any method of registration which enables a user to have access to certain parts of our service;
"User" means any individual who visits or uses our services;
"User" means any company or organisation that provides users our service to create or view content on this system.
3) Licence to Use
Unless otherwise stated, we or our licensors own the intellectual property rights to our Services. Subject to the licence, all these intellectual property rights are reserved.
You may not: Republish material (including republication on another website); sell, rent or sub-license material from our website or mobile apps; reproduce, duplicate, copy or otherwise exploit material for a commercial purpose; edit or otherwise modify any material on the website; or redistribute material from this website except for content specifically and expressly made available for redistribution (such as our newsletter).

Our prices and fees are based on your use of our Services. These prices and fees may change from time to time. You can cancel your subscription at any time. Any unused portion of a paid subscription will be refunded. To the extent permitted by law, refunds are totally at the discretion of Fresh Online Pte and only in the form of credits for our Services. You also acknowledge and agree that any credit card and related billing and payment information that you provide to us may be shared by us with companies who work on our behalf, such as payment processors and/or credit agencies, solely for the purposes of checking credit, effecting payment to us and servicing your account.
5) Acceptable Use
You may not use our services in any way that causes, or may cause, damage or impairment to the availability or accessibility of our services; or in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.
You must not conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to our website without our express written consent.
You must not use our services to transmit or send unsolicited commercial communications.
You may not include advertising in your lessons without prior approval from us.
You must not use our services for any purposes related to marketing without our express written consent.
6) Restricted Access
Certain areas of our Services are restricted to registered users. All user content is subject to review. Users warrant that the details they provide are true and correct. We reserve the right to reject any user at our own discretion. We also reserve the right to modify or change at any time our requirements to be a user.
If we provide you with a user ID and password to enable you to access restricted areas of our Services, you must ensure that that user ID and password are kept confidential. We may disable your user ID and password at our discretion without notice or explanation.
7) User Generated Content
In these Terms of Use, "your user content" means material (including without limitation text, images, audio material, video material and audio-visual material) that you submit to our Services, for whatever purpose.
You grant to us a worldwide, irrevocable, non-exclusive, royalty-free licence to use, reproduce, adapt, publish, translate and distribute your user content in the context of the Services we provide.
Your content must not be illegal or unlawful, must not infringe any third party's legal rights, and must not be capable of giving rise to legal action whether against you or us or a third party (in each case under any applicable law). Specifically content that includes hate speech, violent or graphic content or nudity is strictly not permitted.
You must also not submit any user content to the website that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint.
We reserve the right to edit or remove any material submitted to our Services, or stored on our servers, or hosted or published upon our website at our discretion. We also reserve the right to suspend any content if it contravenes these content guidelines, and to suspend any account for repeated violations of these terms.
Notwithstanding our rights under these terms of use in relation to user content, we do not undertake to monitor the submission of such content or the publication of such content on any of our Services.
8) Copyright & other intellectual property rights
Any and all copyright subsisting in the our website and mobile apps, including these Terms of Use vests in Fresh Online Pte Ltd and all rights not expressly granted are reserved.
We cannot screen or edit all the content available on our Services and we do not accept any liability for illegal, defamatory or obscene content. You are encouraged to inform us of any content that may be offensive or illegal.
All the content, trademarks and data on our Services, including but not limited to, software, databases, text, graphics, icons, hyperlinks, private information, designs and agreements, are the property of or licensed to Fresh Online Pte Ltd and as such are protected from infringement by local and international legislation and treaties.
9) Privacy
We do collect usage data on everyone who visits our Services. We use this to gain a better insight on who is using our Services so we can understand how to improve our Services.
If you apply for access to restricted areas on our Services we request certain contact information about you or your business which we will use in the context of the Services we provide. We may also share that information with our partners who represent or provide our Services in various geographic regions.
We do not collect or store credit card data. All payments are organised through third party payment providers.
The transmission of data on the internet is not totally secure. We will always do what we think is best to protect your data but we cannot guarantee that the data you send us will be totally safe.

10) Limited Warranties
When you use our Services, you use it ‘as is‘. This means we are not making any promises to you about the standard or quality of our Website or mobile apps, or that they will be uninterrupted or error free. We only promise to provide our Services with reasonable skill and care. This means that we aren‘t responsible for any losses you suffer as a result of your use of our services.
To the maximum extent permitted by applicable law we exclude all representations, warranties relating to our Services and the use of our Services (including, without limitation, any warranties implied by law of satisfactory quality, fitness for purpose and/or the use of reasonable care and skill).
We also do not offer any warranties for the content produced by our users. We do not control them and are not responsible for any aspect of their businesses. Users may at any time alter or cancel their registration with our Services. If they cancel their registration or account, any content not deleted by the user, all content becomes the full property of Fresh Online Pte Ltd.
From time to time our Services may also include links to other sites. These links are provided for your convenience to provide further information. They do not signify that we endorse the website(s). We have no responsibility for the content of the linked website(s).
11) Limitations of Liability
Nothing in these terms of use (or elsewhere on our website) will exclude or limit our liability for fraud, for death or personal injury caused by our negligence, or for any other liability which cannot be excluded or limited under applicable law.
Subject to this, our liability to you in relation to the use of our Services or under or in connection with these terms of use, whether in contract, tort (including negligence) or otherwise, will be limited as follows: We will not be liable for any loss or damage of any nature; we will not be liable for any consequential, indirect or special loss or damage; we will not be liable for any loss of profit, income, revenue, anticipated savings, contracts, business, goodwill, reputation, data, or information; we will not be liable for any loss or damage arising out of any event or events beyond our reasonable control;
12) Indemnity
You hereby indemnify us and undertake to keep us indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by us to a third party in settlement of a claim or dispute on the advice of our legal advisers) incurred or suffered by us arising out of any breach by you of any provision of these Terms of Use, or arising out of any claim that you have breached any provision of these Terms of Use.
13) Breaches of These Terms of Use
Without prejudice to our other rights under these terms of use, if you breach these Terms of Use in any way, we may take such action as we deem appropriate to deal with the breach, including suspending your access to our Services, prohibiting you from accessing our Services, blocking computers using your IP address or contacting your internet service provider to request that they block your access to the website and/or bringing court proceedings against you.

15) Severability
If a provision of these Terms of Use is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect. These Terms of Use, constitute the entire agreement between you and us in relation to your use of our Services, and supersede all previous agreements in respect of your use of our Services.
18) Disputes
Between you and Fresh Online Pte Ltd: Save for urgent or interim relief which may be granted by a competent court, in the event of any dispute of any nature whatsoever arising between you and Fresh Online Pte Ltd on any matter provided for in, or arising out of these Terms of Use, and not resolved through our Customer Service Department, then such a dispute shall be submitted to confidential arbitration, to be held in Singapore, with a recognised arbitration center there of our choosing.
19) Governing law & Jurisdiction
These Services are controlled and operated from Singapore and therefore governed by Singaporean law. Subject to the 'Disputes' clause of these Terms of Use, you and Fresh Online Pte Ltd submit to the exclusive jurisdiction of the courts of Singapore.
